Stephanie Sprague practices in the areas of general corporate law, mergers and acquisitions, health care and promotion law. In addition to assisting clients with entity formation and governance matters, she has represented companies in private placements, private equity transactions and a variety of merger and acquisition transactions. Specific transactions include representing an ambulatory surgical center in the sale of equity interests to numerous physicians, representing a unique, high-end food company in the sale of multi-tier membership interests and representing numerous small business owners in the purchase or sale of their businesses.
Stephanie’s health care practice focuses on the representation of physician groups and hospitals in a wide range of business, governance and regulatory matters, including physician employment agreements, risk management and Certificate of Need applications and oppositions.
Stephanie’s promotions practice focuses on assisting entertainment and marketing industry clients with the development, execution and documentation of sweepstakes and contests. This practice includes working with clients’ marketing teams to design promotions in compliance with various state requirements, drafting official rules and ancillary documents, and negotiating agreements with co-sponsors or other participants regarding responsibilities and indemnities.
