Non-Profit Organizations and Private Clubs
Jeffers Cowherd has substantial experience representing not-for-profit organizations and private clubs with respect to their legal affairs, including governance issues, corporate transactions, employee matters, regulatory advice and litigation. We are able to combine our expertise in other areas of the law with our knowledge of the not-for-profit sector to meet the unique needs of this clientele.
For example, our lawyers work with clients during the formation and organization process to determine board composition and advise on the application of conflict of interest and other rules. We assist with drafting bylaws, board policies and employee and membership handbooks. For existing non-profits, we provide guidance on governance, regulatory issues and IRS requirements, as well as preventive training and advice regarding employment-related matters. Our litigators have experience defending non-profits in a wide variety of lawsuits in both federal and state courts, including civil rights, discrimination or other actions brought by employees, members or third parties. We serve as regular counsel to many private clubs and work closely with board leadership and managers to provide guidance on legal issues.
